Retail Messaging Service Agreement
Effective Date: [4-15-2025]
This Retail SMS Service Agreement (“Agreement”) outlines the terms and conditions under which SMSC Network, LLC (“SMSC Network,” “we,” “us,” or “Service Provider”) provides SMS/MMS messaging services to its customers (“you,” “Customer”) through 10DLC and Toll-Free Numbers (TFN).
By using our services, you agree to the terms outlined below.
1.1. SMSC Network provides access to 10DLC and TFN numbers for sending and receiving SMS and MMS messages.
1.2. SMSC Network provides HTTP APIs to enable easy integration of SMS/MMS functionalities into your systems or applications.
1.3. You are responsible for registering your 10DLC campaigns under a valid brand name and complying with all requirements set by The Campaign Registry (TCR).
1.4. While SMSC Network facilitates the campaign registration process, all associated TCR charges, including brand and campaign registration fees, are your responsibility.
1.5. Carrier fees for inbound and outbound messages are billed to you based on your usage.
2.1. You agree to comply with all applicable federal, state, and carrier regulations, including CTIA, TCPA, and FCC rules and guidelines.
2.2. All 10DLC numbers must be used lawfully and only for permitted use cases.
2.3. Any misuse, spamming, or regulatory violations may lead to suspension or termination of your service and associated numbers.
3.1. You agree to pay the following charges to SMSC Network:
10DLC Number Fees (based on current pricing)
TCR Registration Fees (as determined by The Campaign Registry)
Carrier Messaging Fees (for inbound and outbound SMS/MMS traffic)
3.2. SMSC Network issues invoices during the first week of each month.
3.3. Payments must be made via electronic wire transfer to:

4.1. This Agreement is effective for 12 months from the Effective Date, unless terminated earlier.
4.2. Either party may terminate this Agreement with 30 days’ written notice.
4.3. SMSC Network reserves the right to immediately suspend or terminate services if you fail to comply with regulations, make timely payments, or breach any terms of this Agreement.
5.1. SMSC Network is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
5.2. SMSC Network does not guarantee uninterrupted service, as delivery is subject to carrier network performance and availability.
You agree to indemnify and hold SMSC Network harmless from any claims, damages, or liabilities arising from your use of 10DLC numbers in violation of laws, regulations, or third-party rights.
Both parties agree to maintain the confidentiality of any non-public or proprietary information exchanged under this Agreement.
This Agreement is governed by and construed in accordance with the laws of the State of Texas. Any legal action will be brought in the appropriate courts of Dallas County, Texas, USA.
This Agreement represents the full understanding between you and SMSC Network regarding the services provided and supersedes all prior agreements.
